This Standard End User Licence Agreement (EULA) (“EULA”) becomes a binding contract between you and Stuff & Nonsense Ltd. when you download a copy of the digital work (Style Guide Design). Please read all of the EULA before agreeing to be bound by its terms and conditions.
This license grants you, the purchaser, an ongoing, non-exclusive, worldwide license to make use of the Style Guide Design.
You’re licensed to use the Style Guide Design to create one single End Product for yourself or for one client (a “single application”.) If you need to create an additional End Product, you must purchase an additional licence.
An End Product may be one of the following:
- A style guide for yourself, your company or your client that’s a customised implementation of the Style Guide Design.
- A work that combines the Style Guide Design with other works, so that it’s broader in scope and different in nature from the Style Guide Design.
Things you can make with the Style Guide Design
You can create one End Product for a client, and you can transfer that single End Product to them for any fee. This license is then transferred to your client.
You can modify or manipulate the Style Guide Design, combine it with other works and make a derivative work. The resulting works are also subject to the terms of this license.
Things you just cannot do
You can’t Sell the End Product, except to one client.
You can’t re-distribute the Style Guide Design as stock, in a tool or template. You can’t do this with a Style Guide Design on its own or bundled with other items, even if you modify the Style Guide Design. You can’t re-distribute or make the Style Guide Design available as-is or with superficial modifications.
You can’t make the Style Guide Design source code publicly available to download on any git or version control repository or internet hosting service.
You can’t use the Style Guide Design in any application that allows an end user to customise a digital or physical product to their specific needs, such as an “on demand,” “made to order” or “build it yourself” application.
You must not permit anyone to extract the Style Guide Design and use it separately from the End Product.
Other license terms
A Style Guide Design may include a component sourced from elsewhere and different license terms may apply to that component. If so, these components will be identified in the Style Guide Design’s licence page. The other license will apply to that component instead of this license and this license will apply to the rest of the Style Guide Design.
This license can be terminated if you breach it. If that happens, you must stop making copies of, or distributing the End Product until you remove the Style Guide Design from it. The termination of this license shall not preclude Stuff & Nonsense Ltd. from suing you for damages from any breach of this license.
Stuff & Nonsense Ltd. retains ownership of the Style Guide Design but grants you a license on these terms. Stuff & Nonsense Ltd. is not responsible for the content of the End Product and in the event of a third party claiming infringement of their intellectual property rights, you (and not Stuff & Nonsense Ltd.) will be responsible for the investigation, defence, settlement, and discharge of such a claim.
Warranty The Style Guide Design is provided on an “as is” basis. As such, Stuff & Nonsense Ltd. disclaims all warranties to the fullest extent permitted by law.
Liability Under no circumstances shall Stuff & Nonsense Ltd. or its affiliates, partners or suppliers be liable for any consequential, indirect, incidental, special or exemplary damages arising out of, or in connection with, your use of, or inability to use, the Style Guide Design, any third party content or services, whether or not the damages were foreseeable and whether or not Stuff & Nonsense Ltd. was advised of the possibility of such damages.
If any provision of this Agreement is held to be unenforceable or invalid, it will be changed and interpreted to accomplish its objectives to the extent possible under applicable law. The remaining provisions will continue in effect.
